Agreement to Terms

Welcome to YPC Poster (“YPC Poster”, “we”, “us”, or “our”). These Terms of Service (“Agreement”) constitute a binding legal contract between you and YPC Poster regarding your access to and use of our website, applications, and related services (collectively, the “Platform”).

Please review this Agreement alongside our Privacy Policy and Cookie Policy, which together form the complete contractual framework governing your relationship with us. By accessing, downloading, installing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all referenced policies.

If you do not agree to these terms or are not eligible to use our Platform, you must discontinue use immediately. Your continued use of the Platform constitutes acceptance of this Agreement and any subsequent modifications.

User Qualifications

To use our Platform, you must be at least 18 years of age. By accepting this Agreement, you confirm that: (a) you meet the minimum age requirement; (b) you have not been previously banned or suspended from our Platform; and (c) your use complies with all applicable laws and regulations.

For business entities, the individual accepting this Agreement represents that they possess the authority to bind the organization to these terms, and all references to “you” shall include both the entity and individuals acting on its behalf.

Platform Usage Guidelines

Our Platform provides digital workspace solutions for content creation, planning, and collaboration. You agree to use the Platform solely for its intended purposes and in accordance with this Agreement. We reserve the right to suspend or terminate your access without notice if you violate these terms or engage in prohibited activities, including:

Using the Platform for illegal, fraudulent, or unauthorized purposes
Attempting to breach security measures or gain unauthorized access to systems
Reverse engineering, hacking, or tampering with Platform functionality
Accessing the Platform through unauthorized means or automated systems
Misrepresenting your identity or creating false associations with YPC Poster
Promoting unauthorized products or services
Submitting false reports or misusing support services
Creating derivative works or reproducing Platform content without permission
Using the Platform to compete with or replicate our services
Uploading harmful, illegal, or inappropriate content
Violating intellectual property rights or privacy of others

Account Management and Access

You may access our Platform through supported web browsers at our designated URL. The Platform utilizes SSL encryption for secure connections. Account registration requires accurate information, and you may enhance your profile with additional content.

You are responsible for maintaining account security and confidentiality of login credentials. Account sharing is prohibited, and you remain liable for all activities under your account. Notify us immediately at info@ypcposter.com if you suspect unauthorized access.

To maintain optimal performance and an active user community, we implement the following inactive account policies:

Individual Users: Accounts without associated companies or workspaces that remain inactive for 12 months will receive deletion notifications at 14 days, 7 days, and 24 hours before removal. Logging in cancels the deletion process.

Company Members: Similar to individual users, with the additional condition that deletion only occurs if all company members are inactive. Active participation by any member cancels deletion for all associated accounts.

Paid Subscribers: Company members with active paid subscriptions are exempt from deletion policies regardless of activity level.

Fee Structure and Billing

Registration for service plans requires payment of applicable fees. You will review and confirm all charges before processing. All transactions are final without refunds for subscription or service fees. Plan downgrades automatically credit your account balance for future billing cycles. Pricing varies by plan type and user category.

YPC Poster reserves the right to establish and modify service pricing with advance notification. Current pricing information is available on our website. We may offer promotional rates to select customers at our discretion, which do not affect existing agreements unless specifically extended to you.

Tax Responsibilities

We may collect applicable taxes when legally required, including value-added, sales, use, or withholding taxes imposed by any jurisdiction. Your billing address determines applicable tax rates, appearing as separate invoice line items. You remain responsible for tax payments unless providing valid exemption certificates. You agree to reimburse YPC Poster for any government-imposed withholding taxes on service payments.

Payment Processing

By using our services, you authorize YPC Poster to charge your designated payment method for all selected services and purchases. Credit card payments may require pre-authorization to verify validity and available funds.

Subscription Management and Cancellation

Our Platform may offer automatic recurring billing for ongoing services. Activating recurring subscriptions authorizes continuous charging until cancellation, with payments processed on or before due dates. Your initial purchase date establishes the billing cycle, with automatic renewal unless cancelled prior to the next billing period.

Subscription cancellation is available through Account Settings or by contacting info@ypcposter.com. Enterprise and Custom plan subscribers must provide 90 days advance notice for cancellation.

Account Delinquency

We may suspend or terminate access for accounts with outstanding balances. Delinquent accounts incur additional fees for collection activities, chargebacks, and related administrative costs.

Content Ownership and Licensing

You retain ownership of intellectual property rights in content you submit (“User Content”). However, you grant YPC Poster a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your content in connection with Platform operations across all media formats and channels.

Content shared with other Platform users grants them access rights as permitted by Platform functionality. You represent that submitted content is original or properly licensed, and does not infringe third-party rights.

Content Restrictions and Moderation

You are solely responsible for User Content accuracy, legality, and appropriateness. Prohibited content includes material that creates harm risks, contains false information, violates laws or third-party rights, includes malicious code, or is deemed inappropriate by reasonable standards.

We reserve the right to monitor, remove, or block content violating this Agreement without notice. While we may review content for operational purposes, we assume no liability for User Content or monitoring decisions.

Content Retention and Deletion

Published content is automatically archived one year after publication, with permanent deletion timeframes based on subscription level: Free, Pro, and Basic plans retain content for 30 days after archiving; Enterprise plans retain content for one year after archiving. Users are responsible for backing up content they wish to preserve beyond deletion dates.

Platform Availability

While we strive for reliable service, interruptions and delays are inevitable due to network disruptions. We cannot guarantee 100% uptime but maintain continuous monitoring with engineers typically responding within one hour of service interruptions, using reasonable efforts for prompt restoration within 24 hours.

Regular database backups are maintained for data recovery attempts, though we cannot guarantee complete restoration of lost data. YPC Poster and suppliers are not liable for damages from service interruptions or unavailability.

Intellectual Property Protection

The Platform contains proprietary information protected by intellectual property laws. YPC Poster and suppliers retain all rights to Platform content except User Content. Feedback provided regarding Platform improvements may be implemented without compensation, becoming part of our proprietary assets.

Prohibited activities include decompiling or reverse engineering Platform code, copying or distributing Platform components, creating derivative works, circumventing security features, or violating export regulations.

External Links and Integrations

Our Platform may link to external websites and integrate with third-party services not under our control. We are not responsible for external content, policies, or practices. Users access linked services at their own risk and must comply with applicable third-party terms.

Integrated services depend on user-granted access permissions. Users acknowledge YPC Poster’s access to and licensing of linked service content. Third-party service modifications may affect Platform functionality without our liability.

Legal Protection and Indemnification

You agree to indemnify YPC Poster, including officers, employees, and agents, from claims arising from your Platform use, Agreement violations, legal violations, or User Content. We reserve the right to control defense of such matters at your expense with your cooperation required.

Service Disclaimers

The Platform is provided “as-is” and “as available” without warranties of any kind. To the maximum extent permitted by law, we disclaim all express, implied, or statutory warranties including merchantability, fitness for purpose, accuracy, or non-infringement.

Liability Limitations

Our liability for any damages is limited to a maximum of ten pounds sterling (£10). We are not liable for indirect, consequential, or special damages, lost profits, or data loss. Platform use is at your own risk and discretion.

Agreement Duration and Termination

This Agreement remains effective while you use the Platform. We may suspend or terminate access at any time for Agreement violations. Termination may result in Account deletion and User Content removal from active databases.

Upon termination, your license rights cease, access is revoked, and outstanding payments become due. We may modify or discontinue Platform features without notice or liability. Premium fees are non-refundable.

Administrative Provisions

This Agreement constitutes the complete understanding between parties. Waivers must be written and executed by authorized representatives. Section headings are for convenience only. Invalid provisions are modified to remain enforceable while preserving Agreement integrity.

These terms are governed by English and Welsh law, with courts of England and Wales having exclusive jurisdiction. You consent to electronic communications satisfying legal requirements for written notices.
